Registration of pledge of equities of foreign invested companies

III. Required Materials

1. Application for Registration of Establishment of Pledge of Equities as signed or stamped by the applicant (original)

2. Certificate of the designated representative or jointly entrusted agent (original)

3. Reply of the approval authority to establishment of the pledge of equities (original)

4. Photocopy of the register of shareholders of the limited liability company stating the name of the pledger and its contribution, or photocopy of the shares held by the pledger (affixing the seal of the company)

5. Pledge contract (original)

6. Photocopy of the certificate of the principal qualifications of the pledger or pledgee or the identity certificate of the natural person (if the pledger or the pledgee is a natural person, she/he shall sign, and if belonging to a legal person, affix the seal)

7. Photocopy of the duplicate of the Business License of the company which the equities belong to (affixing the seal of the company)

8. Other materials to be submitted as required by SAIC

IV. Application Process

    The investors shall visit the official website of Shanghai Industrial and Commercial Administration, i.e. www.sgs.gov.cn or the “Investment and Handling Express in Pilot Area” at the portal website of “Shanghai - China”, and prepare relevant materials according to the applicable requirements, and submit the paper materials to the Investment Management Window of the Comprehensive Service Hall in the pilot area for the purpose of handling the change formalities. If materials are complete and in conformity with the legal form, after completion of handling, replace the Business License at the designated window.
