I. Operation Basis

Company Law of the People’s Republic of China, Regulations of the People’s Republic of China on the Administration of Company Registration, and applicable laws and regulations

II. Scope of Application

Citizen, legal person or other organization capable of establishing a domestic company legally

III. Required Materials

1. Application for Registration of Establishment of Companies signed by the Legal Representative

2. Certificate of Designated Representative or Jointly Delegated Agent

3. Bylaws as signed by all shareholders (initiators)

4. Photocopy of certificate of principal qualification of the shareholder (initiator) or ID Card of natural person

5. Capital verification certificate as issued by the capital verification agency legally established (not required for companies implementing a payment system)

6. If the initial contribution by the shareholder (initiator) is non-monetary property, it is required to submit the certificate of handling of the formalities for transfer of property right (not required for companies implementing a payment system)

7. In case of contribution in the form of equities, submit the Letter of Commitment of Contribution in the Form of Equities

8. Photocopy of appointment certificate of the directors, supervisors and managers and ID Card

9. Photocopy of appointment certificate of the Legal Representative and ID Card

10. Certificate of principal office

11. Notice of Pre-approval of Corporate Name

12. If the laws and administrative regulations specify and the State Council decides that the establishments must report and submit relevant materials for approval, it is required to submit the photocopies of relevant approvals or licenses

13. If there are items to be reported for approval before registration in the business scope as applied for registration, as specified in the laws and administrative regulations and as decided by the State Council, it is required to submit relevant approval documents or the photocopy of the licensing certificates, or licenses.

14. If a company limited by shares established by placement issues the shares, it is required to submit the approval documents of the securities supervision and management agency under the State Council

IV. Application Process

(I) “One-off” acceptance process

After handling the pre-approval of corporate name at the industry and commerce administration, the investors shall log on to the “Investment and Handling Express in the Pilot Area” at the portal website of “Shanghai - China” or the portal website of “China (Shanghai) Free Trade Pilot Zone”, and prepare relevant materials according to the applicable requirements, and submit the paper documents to the investment management window in the Comprehensive Service Hall in the Pilot Zone for the purpose of handling the “one-stop acceptance” formalities. If materials are complete and in conformity with the legal form, after completion of handling, receive the license at the designated window.

(II) General process

After handling the pre-approval of corporate name at the industrial and commercial authority, the investors may consult relevant guidance at the website of Shanghai Industry and Commerce Administration, i.e. www.sgs.gov.cn, and prepare relevant materials according to the applicable requirements, and submit the paper materials to the Investment Management Window of the Comprehensive Service Hall in the pilot area for the purpose of handling the acceptance formalities. If materials are complete and in conformity with the legal form, after completion of handling, receive the Business License at the designated window.
